﻿# Terms of Service — Greeta Voice (Business Users)

These Terms of Service ("Terms") are a legally binding agreement between you, whether personally or on behalf of a business entity ("you," "User," or "Business User"), and **J.A.P TECH CONSULTING LLC**, dba Greeta Voice ("Greeta Voice," "we," "us," or "our"), governing your access to and use of the Greeta Voice platform, website (greetavoice.com), dashboard, and related AI communications services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agreed to these Terms, including the **Arbitration and Class Action Waiver** in Section 15. If you do not agree, do not use the Service.

These Terms incorporate our [Privacy Policy](https://greetavoice.com/privacy) by reference.

**Audience:** These Terms apply to **salon owners and business operators** who register for Greeta Voice. If you are a **client of a salon** who called or texted a business using Greeta Voice, see our [Customer Terms](https://greetavoice.com/customer-terms) and [Customer Privacy Policy](https://greetavoice.com/customer-privacy).

## 1. Definitions

- **"Platform"** — Greeta Voice's web dashboard, mobile app, APIs, and AI automation software  
- **"Business User"** — an individual or entity using the Platform for commercial business purposes  
- **"AI Agent"** — AI features that handle calls, messages, and appointment actions on your behalf  
- **"Business Data"** — data you input or sync (services, staff, hours, appointments, customers, configuration)  
- **"End Customer"** — your client or caller who interacts with your business through the Service  
- **"End Customer Data"** — personal information relating to End Customers processed through your Account  
- **"Processor"** / **"Service Provider"** — Greeta Voice when processing End Customer Data on your behalf  
- **"Subprocessor"** — a third party engaged by Greeta Voice to assist in providing the Service  
- **"Subscription"** — a paid plan (or Demo) governing access and included minutes  
- **"Demo Plan"** — a free $0 tier with sample data and limited test-call minutes  
- **"Integration"** — a third-party service you connect (e.g., Square, Google Calendar)

## 2. Eligibility and Business-Only Use

The Service is intended solely for **commercial, business-to-business use** by individuals **18 years or older** with authority to bind their entity.

The Service is **not** offered for personal, family, or household consumer use. You represent that you meet these requirements.

## 3. Account Registration and Security

- You must provide accurate, current business information and keep it updated  
- You are responsible for credential confidentiality and all activity under your Account  
- Notify us promptly of unauthorized access at legal@greetavoice.com  
- We may suspend or terminate Accounts for fraud, abuse, security risk, unlawful use, or material breach of these Terms, with notice where commercially reasonable and legally permitted; immediate action may apply for serious violations

## 4. Description of Services

Greeta Voice provides an AI-powered platform for **non-medical** beauty, grooming, and similar appointment-based businesses, including:

- AI-assisted **inbound** call handling and appointment booking, rescheduling, and cancellation  
- Web dashboard and **mobile app** for calendar, customers, team, services, call history, and transcripts  
- Optional third-party integrations (e.g., Square, Google Calendar where available) on eligible plans  
- Usage-metered **AI call minutes** by plan  

Features vary by Subscription. We may modify features for maintenance, security, compliance, or legitimate business purposes with commercially reasonable efforts to minimize material disruption.

### 4.1 Demo Plan ($0)

Demo includes sample services, staff, and business hours; **customer list starts empty**; limited AI test-call minutes; **no live call forwarding** or paid integrations until upgrade. Demo data and usage are subject to these Terms and our Privacy Policy.

### 4.2 Non-Medical Use

The standard Service is **not** HIPAA-compliant and must not be used for clinical, medical, dental, mental health, or HIPAA-regulated environments unless you have a **separate written agreement** with us (including a BAA) under a dedicated medical offering.

### 4.3 AI Limitations

AI Agents are not human and may err. You must **monitor and verify** bookings and calendar entries. We do not warrant 100% accuracy. Verbal prices or offers stated by the AI are **not binding on Greeta Voice** and may not bind you unless you configured them accurately.

### 4.4 No Outbound Telemarketing

You may **not** use the Service for unsolicited telemarketing, robocalls, or lead-generation cold calling. Outbound messages or calls must comply with TCPA and applicable law and, where required, documented consent.

## 5. Subscriptions, Billing, and Minutes

### 5.1 Payment — Stripe

Paid Subscriptions are billed through **Stripe** (Checkout, saved payment method, and/or Invoice). Greeta Voice does not store full card numbers. By subscribing, you authorize recurring charges at the then-current rate until you cancel.

Pricing may change with reasonable advance notice. Unpaid or failed charges may suspend the Service.

### 5.2 Automatic Renewal

**BY SUBSCRIBING, YOU AUTHORIZE RECURRING CHARGES** (monthly or annual) until you cancel in accordance with these Terms.

### 5.3 Cancellation and plan changes

You may cancel or change plans via the dashboard (Stripe Customer Portal or in-app billing) or by contacting us.

**Cancellation:** On **user-initiated cancellation**:

- Paid Service features and dashboard access continue through the **end of your current billing period**  
- **No refund** for unused days or unused plan minutes in that period unless required by law  
- End Customer Data is handled per our [Privacy Policy](https://greetavoice.com/privacy) retention schedule (generally deleted or anonymized within **90 days** after account closure, subject to legal retention)

**Downgrades:** If you move to a lower-priced plan, the downgrade typically takes effect at the **start of your next billing cycle** (or as shown in the dashboard at checkout). Until then, you retain your current plan features and minutes. **No refunds or credits** for the price difference or unused time in the current period unless required by law.

If Greeta Voice terminates a **paid** account **without cause**, we will provide a pro-rated refund for the unused portion of the current period and unused purchased add-on minutes per the formula in our billing policy.

### 5.4 Minutes

- Plan minutes **reset** each billing cycle and do not roll over  
- When minutes reach **zero**, AI call handling **stops**; dashboard access may continue  
- Add-on minutes purchased separately carry over until used or account termination  
- Pricing for add-ons depends on your active plan

## 6. Acceptable Use and Compliance

### 6.1 Acceptable Use

Lawful business purposes only, in compliance with all applicable laws.

### 6.2 Prohibited Uses

Including but not limited to:

- Unlawful, fraudulent, harassing, or deceptive use  
- TCPA, CAN-SPAM, or telemarketing violations  
- Reverse engineering or disrupting the Platform  
- Reselling without written agreement  
- Deceptive AI impersonation (see 6.3)  
- Medical/HIPAA use on the standard product (see 4.2)  
- Collecting End Customer data beyond appointment needs  
- Processing End Customer Data without required notices or consents under applicable law  
- Using the Service or AI Agents for purposes other than appointment-related communications configured in your Account  

### 6.3 AI Identity Disclosure

The AI Agent must identify as a **virtual/automated assistant**. You may not configure it to falsely claim to be human when asked. Violations may result in termination.

### 6.4 Call Recording

Call recording is **optional** and controlled in your settings. When enabled, callers may hear a recording disclosure. When disabled, we do not store call audio (see Privacy Policy). **You** are responsible for recording and monitoring laws in your jurisdiction and for your callers' locations. For certain business states (including Illinois and Texas), recording may be unavailable or disabled by default.

### 6.5 Your Responsibility

You are solely responsible for AI communications on your behalf, required End Customer consents, and your business configuration (pricing, hours, services). Greeta Voice is a technology provider, not legal counsel.

You represent and warrant that:

- You are the **data controller** for End Customer Data processed through your Account (except where applicable law assigns a different role).
- You have obtained—or will obtain—all legally required notices and consents from End Customers for calls, SMS, recording (where enabled), and appointment processing.
- You authorize Greeta Voice to process End Customer Data **solely as a processor / service provider** in accordance with your Account configuration, our [Privacy Policy](https://greetavoice.com/privacy), and applicable law.

## 7. Third-Party Integrations

Optional integrations include **Square** (booking sync) and **Google Calendar** (staff calendar sync when available on your plan). Each integration is governed by the third party's terms and privacy policies.

When you connect an integration, you authorize Greeta Voice to access and sync data **only as needed** to provide the features you enable. You may disconnect at any time in the dashboard; disconnecting may limit functionality.

## 8. Privacy and Data

Our [Privacy Policy](https://greetavoice.com/privacy) describes data practices. You represent you have the right to submit Business Data and End Customer Data processed through your Account.

**Roles:** For End Customer Data, **you are the data controller** and Greeta Voice acts exclusively as a **processor / service provider**, processing data only on your documented instructions and to provide the Service.

**No model training:** Greeta Voice does not use identifiable Business Data or identifiable End Customer Data to train AI models without your **express written authorization**, as stated in the Privacy Policy.

**DPAs:** Where required by law, we will provide a Data Processing Agreement upon request at legal@greetavoice.com (subject line: **DPA Request**).

## 9. Intellectual Property

Greeta Voice owns the Platform, software, and AI systems. You retain ownership of Business Data. You grant us a limited license to host and process Business Data to provide and support the Service per the Privacy Policy. We do not use identifiable Business or End Customer data to train AI models without your **express written authorization**.

## 10. Feedback

Non-confidential feedback you provide may be used without restriction or compensation unless we agree otherwise in writing. Do not submit confidential Business Data or End Customer Data as feedback.

## 11. Disclaimer of Warranties

THE SERVICE IS PROVIDED **"AS IS"** AND **"AS AVAILABLE."** TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

## 12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, J.A.P TECH CONSULTING LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR **TOTAL AGGREGATE LIABILITY** FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES **ACTUALLY PAID BY YOU TO GREETAVOICE IN THE TWELVE (12) MONTHS** BEFORE THE EVENT GIVING RISE TO THE CLAIM.

**If you have paid no fees** (including Demo or complimentary access), total liability is capped at **ONE HUNDRED U.S. DOLLARS ($100.00)**.

We disclaim liability for scheduling errors, double-bookings, no-shows, and AI output errors—you must verify bookings.

Nothing limits liability where prohibited by law.

## 13. Indemnification

You agree to indemnify and hold harmless J.A.P TECH CONSULTING LLC and its affiliates, officers, directors, employees, and agents from claims arising from:

- Your use of the Service or AI Agents  
- Your violation of these Terms or applicable law (including TCPA, recording, and privacy laws)  
- Your Business Data, configurations, or instructions  
- End Customer interactions through your Account

## 14. Governing Law and Venue

These Terms are governed by the laws of the **State of New Jersey**, without regard to conflict-of-law rules.

Subject to Section 15, exclusive jurisdiction for non-arbitrable disputes lies in the **state courts of Hudson County, New Jersey**, and the **United States District Court for the District of New Jersey**.

## 15. Dispute Resolution; Arbitration; Class Action Waiver

### 15.1 Informal Resolution

Before filing a claim, contact **legal@greetavoice.com**. Parties will attempt good-faith resolution for **30 days**.

### 15.2 Binding Arbitration

Unresolved disputes shall be settled by **binding arbitration** under AAA **Commercial Arbitration Rules**, conducted in **Hudson County, New Jersey** (or virtually if permitted). Judgment on the award may be entered in any court of competent jurisdiction.

Either party may seek injunctive relief in court for IP, confidentiality, or unauthorized use.

### 15.3 Class Action Waiver

**YOU AND GREETAVOICE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS OR REPRESENTATIVE ACTION.** This waiver survives termination.

## 16. Changes to These Terms

### 16.1 Right to Modify

We may update these Terms for operational, legal, or business reasons.

### 16.2 Material Changes — Active Acceptance

**Material changes** (including Limitation of Liability, Governing Law, or Arbitration) require **affirmative acceptance in the dashboard** before continued use. Passive browsing alone is not sufficient for material Terms updates.

### 16.3 Non-Material Changes

Minor updates may be posted with an updated date and/or email notice.

## 17. Termination and Survival

Either party may terminate as described in Section 5.3. Provisions that by nature should survive (payment, IP, disclaimers, liability limits, indemnity, arbitration) survive termination.

## 18. General

- **Entire agreement** with Privacy Policy  
- **Severability**  
- **No waiver** by failure to enforce  
- **Assignment:** you may not assign without consent; we may assign in connection with a merger or sale  
- **Force majeure**
